Facts
Tata Consultancy Services (Tata) (plaintiff) was a computer-consulting company in Bombay, India. Tata regularly signed new employees to three-year employment contracts. Systems International Incorporated (Systems) (defendant) was also a computer-consulting company. Systems regularly intercepted Tata employees before the end of their contracts and convinced them to break their contracts to work for Systems. Tata put Systems on notice that if Systems did not stop this practice, Tata would bring suit against Systems. Systems continued to poach Tata employees by offering higher pay and work visas in the United States. Tata filed suit against Systems for tortious interference. All the claims in the complaint were dismissed, and the court granted summary judgment in favor of Systems. Tata appealed.
