Facts
Jugul Tenja (plaintiff), a shareholder of Familymeds Groups, Inc. (Familymeds) (defendant) brought a shareholder derivative action against Familymeds. Tenja alleged serious allegations of fraud against individual directors of Familymeds. The law firm Robinson & Cole represented both Familymeds and its directors while the allegations in the lawsuit were being investigated. Robinson & Cole advised the board of directors to reject the shareholder demand. In pursuing the shareholder litigation, Tenja filed a motion to disqualify Robinson & Cole from representing Familymeds and its directors.
