Facts
Tronitech, Inc. (plaintiff) filed an antitrust suit against NCR Corporation (defendant). NCR’s accountant asked NCR for a legal opinion on the potential financial implications of the lawsuit. The accountant needed the opinion for its financial audit of NCR. NCR prepared the legal opinion (the audit letter) and submitted it to the accountant. Tronitech filed a motion to compel production of the audit letter.
