Facts
A German company (defendant) ordered a Swiss market-research institute (the Swiss institute) (plaintiff) to prepare a specified market analysis. The Swiss institute prepared and delivered the market analysis in a written report. Thereafter, the German company refused to pay, claiming the report did not comply with the parties’ agreed-upon conditions. The Swiss institute sued the German company for payment under the Convention on Contracts for the International Sale of Goods (CISG).
