Facts
Uniroyal, Inc. (defendant) had a collective-bargaining agreement with a labor union that represented a bargaining unit at a Uniroyal plant (the union) (plaintiff). There were 600 employees in the bargaining unit, including 25 in the maintenance department. Uniroyal decided to subcontract the janitorial work in the plant area, saving the company over $11,000 per year. As a result, Uniroyal laid off three bargaining-unit maintenance employees. The union filed a grievance, and the parties went to arbitration to resolve the issue of whether Uniroyal was allowed to subcontract bargaining-unit work in the absence of any express contractual prohibition.
