Facts
Christopher Yatooma (plaintiff) loaned United Soils, Inc. (USI) $230,000 and converted the debt into equity, thus gaining a 40 percent ownership stake in the company. USI was a close corporation and filed for bankruptcy. USI hired Michael Zousmer (defendant) to shepherd the company through the bankruptcy process. USI did not volunteer a lot of information about the bankruptcy to Yatooma. Yatooma appeared at the bankruptcy hearing as a creditor, represented by his own attorney. Yatooma met Zousmer for the first time outside the bankruptcy hearing. Yatooma claimed that Zousmer told him that it would be in Yatooma’s best interest to support the bankruptcy. Yatooma sued Zousmer for breach of his fiduciary duty and fraud. The trial court granted Zousmer summary judgment. Yatooma appealed.
