UCC § 2-718

Definition

A provision of the Uniform Commercial Code permitting parties to establish, for use in the event of breach, a preset damages amount that is reasonable considering the harm anticipated or actually caused by breach, the difficulty of proving losses, and the feasibility of otherwise obtaining a sufficient remedy.
