UCC § 4-103(a)

Definition

A provision of the Uniform Commercial Code that permits a bank and a customer to modify the provisions of Article 4 by agreement, as long as the agreement does not: (1) disclaim the bank’s responsibility for its lack of good faith, (2) disclaim the bank’s responsibility for its failure to exercise ordinary care, or (3) limit the measure of damages for the lack or failure.
