Facts
Wisconsin passed a statute in which a Wisconsin corporation could not merge with another corporation through use of a tender offer, unless three years had passed since the completion of the tender offer or the board of directors of the corporation taken over approved the takeover. The statute was then challenged in this matter, based on the possibility that the statute preempted federal securities laws regarding tender offers.
