Facts
Clinton Brown (plaintiff) brought an action against Earthboard Sports USA, Incorporated (Earthboard) (defendant) for alleged violations of state securities registration requirements. Earthboard had not registered its securities according to state law. Earthboard asserted that it was exempted from state registration requirements by the National Securities Markets Improvement Act of 1996 (markets-improvement act) because the securities constituted covered securities under the act. The district court granted summary judgment, holding that Earthboard was exempt from state registration requirements because it had purported to qualify for an exemption in a previous regulatory filing. Brown appealed.
