Facts
Song Junchao (defendant) was employed as a sales representative for Hebi Reflective Material Co., Ltd. (Reflective Material) (plaintiff). Reflective Material, paid Song a fee for signing a confidentiality agreement and also taken several steps to maintain the confidentiality of its client lists, which contained not only names, but also invoices, specification, and other information. Song obtained several pieces of Reflective Material fabric under a pseudonym, Song Xiang. Song also later used the same pseudonym as an employee of another company, Hebi Ruimingte Technology Co., Ltd. (Ruimingte) (defendant), operated by Li Jianfa (defendant). Shortly after Ruimingte’s formation as a business, Song, as an employee of Ruimingte, sold reflective fabric to several customers of Reflective Material. Reflective Material brought suit against Song, Ruimingte, and Ji for infringement of trade secrets. The intermediate court ruled in favor of Reflective Material, ordering Song and Ruimingte to cease infringement and pay damages. Song and Ruimingte appealed to the Henan Province Higher People’s Court.
