Facts
Humana, Inc. (Humana) (plaintiff) sought to make a tender offer to purchase most of the outstanding stock of American Medicorp, Inc. (Medicorp) (defendant). Medicorp advised its shareholders against the offer, and Humana sued Medicorp under the Williams Act. During the resulting litigation, Trans World Airways (TWA) made a competing tender offer to purchase Medicorp. Humana moved to amend its complaint against Medicorp to also sue TWA under the Williams Act to enjoin its competing offer. Humana alleged that Medicorp and TWA were pressuring Medicorp’s shareholders to accept TWA’s offer without furnishing all pertinent information. Medicorp challenged the motion to add TWA as a defendant.
