Facts
Interag Company Ltd. (plaintiff), a Hungarian firm, contracted to sell sweaters to Stafford Phase Corporation (Stafford) (defendant), an American firm. Stafford declared the sweaters to be nonconforming, refused to pay Interag’s invoice, and resold the sweaters to a third party. Interag sued Stafford in federal district court to collect payment. Interag moved to discover the price for which Stafford resold the nonconforming sweaters. Stafford opposed this motion, claiming that Interag would use the resale information to steal Stafford’s client list. Instead, Stafford proffered expert testimony as to the nonconforming sweaters’ value. The court noted that Stafford had previously shared its client list with Interag.
