Facts
David Burleigh (defendant) owned Window Treatment & Carpet, Inc. (Window Treatment). Midland Interiors, Inc. (Midland) (plaintiff) entered into contracts with Window Treatment to perform a number of carpet installations. Window Treatment did not pay Midland for a number of these installations. Burleigh had entered into several of these contracts with Midland on behalf of Window Treatment after knowing that his corporation had been declared inoperative and void by the state. Burleigh disregarded most corporate formalities with respect to Window Treatment. Midland received judgment against Window Treatment and went on to seek enforcement of the judgment against Burleigh personally in the Delaware Court of Chancery.
