Facts
An industrial board ruled that Pinn & Wheeler, Ltd. (Pinn), K&B Forest Products Ltd. (K&B), and Sabah Timber Company Ltd. (Sabah) (plaintiffs) should be treated as a single entity for the purposes of the Docks and Harbours Act 1960 and that, so treated, the companies were exempt from the jurisdiction of the National Dock Labour Board (NDLB) (defendant) because they qualified as a waterside manufacturer. On the NDLB’s appeal, the Queen’s Bench Division reversed. The court noted that Pinn, K&B, and Sabah operated as separate legal entities for commercial and historical reasons and held that there were no special circumstances that would justify piercing their corporate veils. Pinn, K&B, and Sabah appealed, arguing that they were a single entity as a matter of commercial reality.
