Facts
Engineering & Professional Services, Inc. (EPS) (defendant) was a general contractor on a construction project. RJS Utility Construction, Inc. (RJS) was a subcontractor on the project. Receivables Purchasing Company, Inc. (Receivables) (plaintiff) purchased the rights to various invoices that RJS had sent EPS for work RJS had completed. Before buying each such invoice from EPS, Receivables was told by EPS project manager Richard Getts Jr. that the work had been performed. EPS declined payment on four of these invoices due to issues with RJS’s work. As a result, Receivables sued EPS, alleging that Getts made fraudulent misrepresentations to Receivables about the work that RJS had performed. The district court granted EPS summary judgment, ruling that Receivables was required to but could not prove that Getts knew that his statements to Receivables were false. Receivables appealed.
