Facts
RyCon Specialty Foods, Inc. (RyCon) (plaintiff) contracted with Wellshire Farms, Inc. (Wellshire) (defendant) to distribute hormone-free cheese products for RyCon. RyCon would sell the products to Wellshire, which would then sell the products to others. RyCon sued Wellshire in district court, alleging that Wellshire had stopped paying RyCon for the products. RyCon alleged that Wellshire owed RyCon $229,584.53. Wellshire filed a counterclaim against RyCon, alleging breach of contract, among other claims. Wellshire claimed that RyCon had breached an oral or implied agreement for Wellshire to be the exclusive and master distributor of RyCon’s products. Wellshire sought discovery from RyCon regarding the business arrangement, along with detailed information on other aspects of RyCon’s business, including RyCon’s relationships with vendors, producers, slicers, packers, shipping companies, customers, and brokers. Wellshire also sought information regarding RyCon’s finances. RyCon objected to providing this information, and Wellshire requested that the district court compel RyCon to provide discovery.
