Implied Contract

Definition

In the absence of an express agreement, (1) a contract implied-in-fact based on the existence of facts and circumstances implying that the parties intended to form a contractual relationship or (2) a contract implied-in-law resulting from the parties’ conduct, their relationship, or the likelihood of unjust enrichment if a contract-in-law remedy is not imposed.
