Facts
SAS Overseas Consultants and Asia Trading & Contracting, Ltd. (SAS-ATAC) (plaintiff) sued Offshore Consultants U.S.A., Ltd. (Offshore) for breach of contract in federal district court. Offshore subsequently filed for chapter 11 bankruptcy relief, and the district court stayed SAS-ATAC’s action against Offshore pending the resolution of the bankruptcy proceeding. Two weeks after Offshore’s bankruptcy filing, SAS-ATAC sued Offshore’s president and controlling shareholder, Michael Benoit (defendant), in federal district court. SAS-ATAC alleged, among other things, that Benoit was Offshore’s alter ego and that the corporate veil should be pierced to impose liability on Benoit for Offshore’s breach of the contract with SAS-ATAC. Benoit asked the district court to stay the action against him pending the resolution of Offshore’s bankruptcy proceeding.
