Facts
In 2006, Swan Lake Holdings, LLC (Swan Lake) (plaintiff) augmented its fleet of 44 Club Car brand golf carts by purchasing 110 new golf carts from Yamaha Golf-Car Company (Yamaha) (defendant). Swan Lake installed GPS systems in the new carts. In May 2006, Yamaha’s batteries began failing, putting 11 new carts out of service. In all, battery failure struck 60 new carts during the 2006 golf season. Swan Lake complained. In February 2007, Yamaha responded to Swan Lake’s complaints by agreeing to replace the batteries in all 110 new carts. During the 2007 golf season, 22 of the new batteries failed. Yamaha replaced those batteries early in 2008. In March 2009, Swan Lake revoked its acceptance of the carts and sued Yamaha for breach of warranty. The federal district court applied Indiana’s Uniform Commercial Code (UCC) to the case. Yamaha moved for summary judgment.
