Facts
Wagner & Brown (plaintiff) sued ANR Pipeline Company (ANR) (defendant) to enforce ANR’s contractual obligation to make take-or-pay prepayments for the natural gas that ANR bought from Wagner & Brown. In its defense, ANR claimed that the prepayments violated Federal Energy Regulatory Commission (FERC) regulations that implemented statutory price ceilings on natural gas. The federal district court held that FERC had primary jurisdiction to hear ANR’s claim and dismissed the case. Wagner & Brown appealed to the Fifth Circuit Court of Appeals.
