Facts
The California Commissioner of Corporations issued a final order finding that the proposed change in voting rights of California shareholders of a Delaware corporation with substantial contacts and most of its business in California was unfair. The corporation’s plan was to eliminate cumulative voting by shareholders, which was contrary to California policy and required by all California corporations. The California District Court of Appeal held that the commissioner’s order exceeded the commissioner’s jurisdiction, and the commissioner sought a writ of mandate.
