Facts
Robert Sherwood (defendant) purchased a block of shares of Canadian Javelin Limited. Sherwood resold the shares at least two years after his initial purchase. The Securities and Exchange Commission (SEC) brought an action against Sherwood. The action culminated in an order directing Sherwood to register his shares of Canadian Javelin with the SEC. Sherwood did not register his shares. The United States (plaintiff) brought an action against Sherwood for criminal contempt.
