Most of the M&A deal structures we’ve discussed so far have required the approval of the target company’s board. One acquisition device that can circumvent this requirement is the tender offer. Tender offers, however, are subject to extensive regulation under the Williams Act. We’ll discuss these rules and regulations in another lesson, but first, let’s define tender offers and learn how they’re used to facilitate M&A transactions.
