G. Thorne IV v. Satellogic USA, Inc.

United States District Court for the Middle District of Tennessee
2024 WL 1558707 (2024)

  • Written by Nathan Benedict, JD

Facts

Satellogic USA, Inc. (Satellogic) (defendant) hired Arthur G. Thorne IV (plaintiff) as a senior sales manager to sell dedicated satellite constellations (DSCs) to foreign governments. Satellogic offered Thorne a low base salary plus 15 percent commissions for “making sales” of DSCs. Thorne worked on a $6 million project selling DSCs to the Albanian government. Thorne visited Albania multiple times, met with members of the Albanian government, attended meetings, and was involved in negotiating the contract. The Albanian government agreed to the purchase in principle, but the deal could not be formally executed for several months due to legal formalities. Satellogic terminated Thorne before the deal closed. Satellogic refused to pay Thorne his commission. Thorne sued for breach of contract. Satellogic filed a motion to dismiss for failure to state a claim, claiming that no enforceable contract with Thorne existed because the phrase “making sales” was not sufficiently definitive.
