Suzanne Walker & Associates, Inc. (Walker) (plaintiff) entered into a contract with Qualtec Quality Services, Inc. (Qualtec) (defendant) to provide consulting services. Walker’s office was in Seminole County, Florida. Before the contract work was completed, Qualtec sent a letter to Walker’s Seminole County office stating that Qualtec was terminating Walker’s contract because of unsatisfactory performance. Walker filed a breach-of-contract action against Qualtec in Seminole County, arguing that Qualtec’s repudiation of Walker’s contract was unjustified and based on false allegations. Walker claimed that Seminole County was an appropriate venue because (1) Walker’s work under the Qualtec contract was to be performed out of Walker’s Seminole County office; and (2) the cause-of-action accrued in Seminole County because Qualtec sent the contract-termination letter to Walker’s Seminole County office. Qualtec filed a motion to change venue, arguing that Palm Beach County was the proper venue because Qualtec’s principal place-of-business was in Palm Beach County, the contract was entered into in Palm Beach County, and Walker sent all payment invoices to Qualtec’s Palm Beach County office. The trial court transferred the action to Palm Beach County. Walker appealed.
