Loss Corporation

Definition

As defined in § 382 of the Internal Revenue Code, a corporation entitled to use a net-operating-loss carryover or having a net operating loss for the taxable year in which the ownership change occurs. An old loss corporation is the corporation that generated the net operating loss prior to the ownership change, and a new loss corporation is the corporation that takes over the net operating loss carryover.
