International Casings Group, Inc. (ICG) (plaintiff) filed suit in federal district court against Premium Standard Farms, Inc. (PSF) (defendant) seeking to enforce a three-year output contract agreed to by the parties. PSF sold hog casings to ICG’s facilities located in Milan, Missouri and Clinton, North Carolina and ICG wished to extend their long-standing business relationship. After representatives from each company reached an agreement on the essential terms of the contract, the parties began performing pursuant to the agreement. However, the contract was never reduced to writing and signed by the parties. Thereafter, PSF notified ICG that it refused to abide by the agreed-to price and informed ICG of its intent to terminate the parties’ business relationship. ICG filed a motion for a preliminary injunction.
