Facts
In 1981, W.W. Taylor (plaintiff) purchased 400,000 shares of Perdition Minerals Group, Ltd. (Perdition) (defendant), after several discussions with one of the company’s directors, Henry Mulvihill. Taylor soon discovered that the securities he purchased were not registered. He then brought suit against Perdition and all of its directors for selling unregistered securities in violation of the Kansas Securities Act 1987 Supp. 17-1268. The trial court ruled in favor of the directors, except for Mulvihill. Taylor then petitioned for certiorari to the Supreme Court of Kansas.
