Blasius Test
Definition
A test adopted in Blasius Industries, Inc. v. Atlas Corp., 564 A.2d 651 (Del. Ch. 1998), that invalidates board actions taken with the primary purpose of impeding the shareholder franchise, absent a compelling justification.
