Definition

A rule adopted in the Blasius case, Blasius Industries, Inc. v. Atlas Corp., 564 A.2d 651 (Del. Ch. 1998), which invalidates board action taken with the primary purpose of impeding the shareholder franchise, absent a compelling justification.
