Definition

Also known as shareholder rights plan, a corporate strategy developed in the 1980s to defend against hostile takeovers. Poison pills generally grant rights to existing shareholders which are triggered when an outside party makes a bid for a certain percentage of the company’s stock, and which would result in the dilution of the acquirer’s holdings.
