Definition

A test used to determine whether the attorney-client privilege protects communications made by a corporation’s agents. Under the test, an employee’s communication to corporate counsel is privileged if the employee makes the communication at the direction of his superiors and the subject matter on which legal advice is sought is within the scope of the employee’s corporate duties.
